By visiting our website, submitting a project inquiry, or working with us, you agree to these terms. If you do not agree with these terms, please do not use our website or services.

Raysome Studio (“Raysome,” “we,” “us,” or “our”) is a Wyoming-based creative studio offering brand identity, concept art, character design, illustration, creative direction, and related design services.

We may update, remove, or change website content at any time.

Project Inquiries

Submitting a contact form or project inquiry does not automatically create a client relationship, contract, or confirmed project.

A project only begins when both sides agree to the project scope, timeline, pricing, and payment terms. These details may be confirmed through a written proposal, invoice, agreement, or email confirmation.

We reserve the right to accept or decline any project inquiry.

Creative Services

Raysome Studio may provide services including, but not limited to, brand identity design, logo and visual identity systems, concept art, character design, illustration, packaging design, editorial or campaign art, creative direction, and website or digital design support.

The exact scope of each project will be based on the agreed proposal, invoice, or written communication between Raysome Studio and the client.

Pricing and Payments

Project pricing depends on the service type, scope, timeline, usage rights, and complexity of the work.

Payment terms will be shared before a project begins. Depending on the project, we may require a deposit, milestone payments, or full payment before delivery of final files.

Unless otherwise agreed in writing, deposits are required to reserve project time, work may pause if payments are delayed, final files may be released after full payment, and prices may change for additional work outside the original scope.

The client is responsible for paying any agreed fees, taxes, transaction charges, or third-party costs related to the project.

Scope Changes and Additional Work

The agreed project scope will be based on the proposal, invoice, agreement, or written communication approved before the project begins.

Any work outside the agreed scope may require additional fees. This may include extra concepts, extra revision rounds, new deliverables, major direction changes, rush work, additional file formats, expanded usage rights, or requests not included in the original project.

Raysome Studio will notify the client when a request appears to fall outside the agreed scope.

Revisions

Projects may include a specific number of revision rounds, depending on the agreed scope.

Revisions are meant to refine the agreed direction, not create an entirely new concept or project direction after approval.

Additional revisions, major direction changes, or extra deliverables may require additional fees.

Client Approvals and Sign-Off

When the client approves a concept, direction, design stage, revision, or final deliverable in writing, that approval will be treated as confirmation to move forward.

After approval, major changes, new directions, or requests to revisit already approved work may be treated as additional work and may require additional fees.

Final approval confirms that the client has reviewed the work carefully, including spelling, layout, colors, content, names, and project details.

Raysome Studio is not responsible for errors approved by the client after final sign-off.

Project Timeline

We do our best to follow agreed timelines. However, timelines may change if client feedback is delayed, required materials are not provided on time, the project scope changes, additional revisions are requested, or unexpected technical or creative issues appear.

Raysome Studio is not responsible for delays caused by missing information, late feedback, third-party tools, or client-side delays.

Client Responsibilities

To complete a project properly, the client may need to provide accurate project information, brand details, references, or creative direction, feedback within agreed timelines, required files, content, images, or assets, and approval at key project stages.

The client is responsible for making sure any materials they provide are legal to use and do not violate another person’s rights.

Client Materials and Indemnification

The client is responsible for ensuring that any materials, references, images, logos, copy, trademarks, fonts, files, or instructions provided to Raysome Studio are legal to use and do not infringe another person’s rights.

The client agrees to protect, defend, and hold Raysome Studio harmless from any claims, damages, losses, costs, or legal fees that arise from materials, instructions, approvals, or assets provided by the client.

This includes claims related to copyright infringement, trademark infringement, privacy rights, publicity rights, licensing issues, or inaccurate information supplied by the client.

Intellectual Property and Ownership

Unless otherwise agreed in writing, Raysome Studio retains ownership of concepts, drafts, unused designs, working files, sketches, source files, and creative directions that are not selected or fully paid for.

Once full payment is received, the client receives the agreed usage rights or ownership rights for the final approved deliverables, based on the agreed project scope.

Unused concepts, rejected directions, internal process work, and preliminary drafts remain the property of Raysome Studio unless specifically purchased or transferred in writing.

Portfolio Rights

Unless otherwise agreed in writing, Raysome Studio may display completed work, selected visuals, case studies, project descriptions, and creative process examples in our portfolio, website, social media, proposals, and marketing materials.

If a project is confidential or under NDA, the client should tell us before the project begins so we can agree on confidentiality terms in writing.

Third-Party Assets and Tools

Some projects may involve third-party assets, fonts, mockups, plugins, stock images, software, hosting, or other external tools.

The client may be responsible for purchasing or maintaining any required third-party licenses unless otherwise agreed.

Raysome Studio is not responsible for changes, errors, pricing, downtime, or policy updates caused by third-party platforms or services.

Website Content

The text, visuals, graphics, branding, layout, images, portfolio materials, and creative content on this website belong to Raysome Studio or are used with permission, license, or proper authorization, unless stated otherwise.

You may not copy, reproduce, sell, modify, reuse, or redistribute our website content, portfolio work, case studies, or creative materials without written permission.

Some images, mockups, fonts, plugins, tools, or third-party assets may belong to their respective owners and are used only for presentation, licensing, or demonstration purposes where applicable.

No Guarantees

We aim to provide high-quality creative work and professional service. However, we do not guarantee specific business results, sales, revenue, audience response, search rankings, or brand performance from any project.

Creative results depend on many factors outside our control, including market conditions, audience behavior, business strategy, advertising, product quality, and client execution.

Cancellations, Pauses, and Kill Fees

Cancellation terms may vary by project and will be based on the agreed proposal, invoice, or written agreement.

Unless otherwise agreed in writing:

  • Deposits are non-refundable once project time has been reserved.
  • Work already completed, scheduled, researched, designed, or developed must be paid for.
  • If a project is cancelled after work begins, Raysome Studio may charge a kill fee based on the stage of the project.
  • If a project is cancelled during the discovery or strategy stage, up to 25% of the project fee may be due.
  • If a project is cancelled during concept development or design exploration, up to 50% of the project fee may be due.
  • If a project is cancelled after major creative direction, design work, or deliverables have been presented, up to 75% of the project fee may be due.
  • If a project is cancelled after final approval or delivery, the full project fee may be due.

Refunds are not usually provided for completed work, approved work, delivered files, reserved project time, or services already performed.

If the client delays feedback, approvals, content, or required materials for more than 14 days, Raysome Studio may pause the project. If the project remains inactive for more than 30 days, it may be treated as cancelled or may require a new timeline and restart fee.

Confidentiality

We respect confidential project information shared with us.

If a project requires strict confidentiality, NDA terms, or private handling of creative materials, this should be agreed in writing before the project begins.

We may still keep internal records needed for business, legal, financial, or administrative purposes.

Limitation of Liability

To the maximum extent allowed by law, Raysome Studio is not responsible for indirect, incidental, special, or consequential damages related to the use of our website or services.

This includes loss of revenue, business interruption, lost data, missed opportunities, or damages caused by third-party platforms, tools, hosting, or services.

Our total liability for any project will not exceed the amount paid to Raysome Studio for that specific project.

Links to Other Websites

Our website may include links to third-party websites, tools, platforms, or resources.

We are not responsible for the content, privacy practices, security, accuracy, or policies of third-party websites. Visiting third-party links is at your own risk.

Changes to These Terms

We may update these Terms of Service from time to time. When we do, we will update the “Last updated” date at the top of this page.

Continued use of our website or services after updates means you accept the revised terms.

Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, unless another written agreement says otherwise.

Dispute Resolution and Venue

If a dispute arises from these Terms, our website, or any project with Raysome Studio, both parties agree to first try to resolve the issue in good faith through written communication.

If the dispute cannot be resolved informally, the parties agree that any legal claim must be brought in the state or federal courts located in Wyoming, unless another written agreement says otherwise.

You agree to the personal jurisdiction and venue of those courts and waive any objection that Wyoming is an inconvenient forum.

Nothing in this section prevents either party from seeking urgent legal relief when needed to protect intellectual property, confidential information, or unpaid fees.
